Matthew M. Guest joined Wachtell, Lipton Rosen & Katz in 2000 and was elected partner in 2008. Mr. Guest is a corporate and securities lawyer, and focuses on advising banks and other financial services companies in mergers and acquisitions and capital-raising transactions. He also has advised numerous public and private companies in other industries regarding acquisitions and dispositions, securities law matters, takeover defense, and general corporate and governance matters. Recent transactions in which he was involved in include:

  • Fidelity National Information Services, Inc. in its pending acquisition of Metavante Technologies, Inc.
  • Capital One Financial Corp. in its acquisition of Chevy Chase Bank
  • The PNC Financial Services Group, Inc. in its acquisition of National City Corporation
  • Wells Fargo & Company in its November 2008 and May 2009 public offerings of common stock
  • Wells Fargo & Company in its acquisition of Wachovia Corporation
  • Bank of America Corporation in its acquisition of Merrill Lynch
  • United States Department of the Treasury in the conservatorship of Fannie Mae and Freddie Mac
  • U.S. Bancorp in its acquisition of Mellon 1st Business Bank
  • JPMorgan Chase & Co. in its acquisition of The Bear Stearns Companies, Inc.
  • Countrywide Financial Corporation in its sale to Bank of America Corporation
  • Merrill Lynch in its sale of Merrill Lynch Capital to General Electric Capital Corp.
  • CheckFree Corporation in its sale to Fiserv, Inc.

Mr. Guest graduated from Yale Law School in 2000. While at Yale, he was Notes Editor of Volume 109 of the Yale Law Journal. Prior to attending law school, he received his A.B. in Economics and International Studies from the University of North Carolina at Chapel Hill, where he graduated with highest distinction and honors, and was inducted into Phi Beta Kappa.
