Bausch + Lomb Corporation in its agreement with Carl C. Icahn relating to the composition of Bausch + Lomb’s Board following Bausch Health’s spin-off of Bausch + Lomb

On April 28, 2022, Bausch + Lomb Corporation entered into an agreement with Carl C. Icahn relating to the composition of Bausch + Lomb’s Board following the completion of Bausch Health’s previously announced spin-off of Bausch + Lomb.  Icahn has agreed to customary voting and standstill provisions and certain other restrictions.  Wachtell, Lipton, Rosen & Katz served as legal advisor to Bausch + Lomb.
