American Exceptionalism Acquisition Corp., a SPAC sponsored by Social Capital and Chamath Palihapitiya, in its $345 million IPO

On September 25, 2025, American Exceptionalism Acquisition Corp. A (“AEXA”) announced the pricing of its upsized initial public offering of Class A ordinary shares, raising $300 million in cash at $10.00 per share, plus an overallotment option of $45 million.  AEXA is a special purpose acquisition company sponsored by Social Capital and its founder, Chamath Palihapitiya, that intends to focus on four sectors:  Energy Production, Artificial Intelligence, Decentralized Finance, and Defense.  AEXA is the first SPAC IPO where 100% of the sponsor’s promote shares vest only upon achievement of share price thresholds following a business combination, beginning at $15.00 per share.
