Zendesk in its response to activism and threatened proxy contest by JANA Partners and JANA’s ultimate withdrawal of its nomination notice prior to Zendesk’s 2022 annual meeting

On June 24, 2022, Zendesk, Inc. announced that an affiliate of JANA Partners LLC withdrew its nomination notice in connection with Zendesk’s 2022 annual meeting of stockholders. The nomination notice was submitted to Zendesk on February 16, 2022 and set forth JANA’s intention to nominate four persons for election to the Board of Directors of Zendesk at the annual meeting. Also on June 24, 2022, JANA announced that it had withdrawn its proxy materials filed in connection with the annual meeting and ceased any related solicitation.
