Bill Savitt recognized as “Litigator of the Week” by The American Lawyer
Bill Savitt, co‑chair of the Litigation Department at Wachtell, Lipton, Rosen & Katz, was highlighted by The American Lawyer in the March 6 edition of its “Litigator of the Week” feature for securing a significant ruling from the Delaware Supreme Court upholding Senate Bill 21.
The Court’s unanimous decision confirms the constitutionality of major amendments to the Delaware General Corporation Law that modernize the framework for reviewing conflicted transactions and reinforce Delaware’s authority to shape and update its corporate law.
The ruling preserves key statutory safe‑harbor procedures while affirming that the amendments do not limit the Court of Chancery’s equitable powers or improperly eliminate vested rights. Collectively, the decision provides greater certainty for corporate boards and advisers navigating transactions involving controlling stockholders and helps prevent potential instability in Delaware’s corporate governance landscape.
