3M Company in a secondary offering of 8,800,000 shares of its common stock in Solventum Corporation

On August 15, 2025, 3M Company (NYSE: MMM) completed a previously announced SEC-registered secondary offering of 8,800,000 shares of common stock of Solventum Corporation (NYSE: SOLV).  The offering resulted in proceeds of approximately $646 million to 3M Company as the selling shareholder.  Solventum did not issue or sell any shares of its common stock in the offering. Goldman Sachs & Co. LLC and BofA Securities, Inc. acted as underwriters.
