Charter Communications in its $15 billion acquisition of Liberty Broadband Corporation

On November 13, 2024, Charter Communications, Inc. and Liberty Broadband Corporation announced that they have entered into a definitive agreement under which Charter has agreed to acquire Liberty Broadband in an all-stock transaction.  In the transaction, each share of Liberty Broadband common stock will be converted into 0.236 shares of Charter common stock.  Liberty Broadband has agreed to spin off its GCI business by way of a dividend to the stockholders of Liberty Broadband prior to the closing of the transaction.  The companies currently expect the transaction to close on June 30, 2027, subject to the completion of the GCI spin-off and other customary closing conditions.
