Twilio Inc. in its Cooperation Agreement with Sachem Head Capital Management LP

On April 1, 2024, Twilio Inc. (NYSE: TWLO) announced that it has appointed Andy J. Stafman to serve on its Board of Directors, effective immediately.  Twilio Inc. has also entered into a cooperation agreement with Sachem Head Capital Management LP.  Under the cooperation agreement, Sachem Head has agreed to standstill, voting and non-disparagement provisions lasting the later of the departure of the Sachem Head principal from the Board and the day after Twilio’s 2025 annual meeting.
