Lam, Kling and Green named Dealmakers of the Year by The American Lawyer

Corporate partners David Lam, Jake Kling, and Steve Green led the firm’s team advising Pfizer in its November 2025 acquisition of Metsera, an obesity‑treatment–focused pharmaceutical company, in a transaction valued at up to $10 billion. They were named 2026 Dealmakers of the Year by The American Lawyer.

After Pfizer entered into a definitive agreement to acquire Metsera, a competing bid from Novo Nordisk emerged featuring a novel and aggressive deal structure designed to evade U.S. antitrust scrutiny. The team moved quickly to identify significant legal deficiencies in the competing structure and initiated litigation in both the Delaware Court of Chancery and federal court. That strategy succeeded when the Federal Trade Commission issued a letter expressing concern that the competing proposal violated antitrust law, clearing the path for Pfizer to complete the transaction.

In just three business days, the team identified core structural flaws in a rival proposal, pursued coordinated litigation in two forums, and secured a superior outcome for Pfizer at every stage. Metsera is now a wholly owned subsidiary of Pfizer.
