Wachtell Lipton, Rosen & Katz won Matter of the Year at the Global Competition Review (GCR) Awards for its role as legal advisor to Pfizer Inc. in its acquisition of Metsera, Inc.
This award recognizes the outstanding contributions of the entire Wachtell Lipton team, with special recognition for the firm’s antitrust lawyers whose work was critical to navigating the complex regulatory and competitive issues presented by the transaction.
In late 2025, after Pfizer entered into a definitive agreement to acquire Metsera, a competing bid from Novo Nordisk emerged featuring a novel and aggressive deal structure designed to evade U.S. antitrust scrutiny. In just three business days, our team identified core structural flaws in a rival proposal, pursued coordinated litigation in two forums, and secured a superior outcome for Pfizer.
Metsera is now a wholly owned subsidiary of Pfizer.
